Cxense ASA - Announcement of compulsory acquisition of shares
Piano Software B.V. ("Piano") announces that it today has resolved and carried out a compulsory acquisition of all the shares in Cxense ASA ("Cxense") owned by shareholders other than Piano, pursuant to section 4-25 of the Norwegian Public Limited Liability Companies Act, cf. section 6-22 of the Norwegian Securities Trading Act. Piano has as a consequence of this assumed ownership of 100% of the shares in Cxense.
The offered redemption price is NOK 16 per share, which equals the NOK 16 per share in Cxense offered under the voluntary offer presented by Piano. Settlement of the redemption price will be made to the shareholders on 16 October 2019.
Pareto Bank ASA has furnished a guarantee for the settlement under the compulsory acquisition in accordance with section 6-22 of the Norwegian Securities Trading Act.
Any objections to, or rejections of, the offered redemption price must be raised within two months form the publication of the compulsory acquisition in the Brønnøysund Register Centre's electronic announcement publication. Former Cxense shareholders who do not object to, or reject, the offered redemption price within this deadline will lose their right to object to, or reject, the offered redemption price and are deemed to have accepted the offer.
Piano intends to procure that Cxense applies for a delisting from Oslo Børs without delay and that an extraordinary general meeting in Cxense is held today for this purpose.
