Communique from General Annual Meeting of CybAero AB (publ) on June 1st, 2016
The meeting decided to adopt the annual accounts of the presented income statement and balance sheet.
The meeting decided to treat the result in accordance with the Board's proposal, meaning that for the financial year 2015 no dividends are given without unrestricted equity carried forward.
The meeting decided to grant the Board of Directors and the CEO from liability for their management of its affairs during the preceding financial year. It is noted that the CEO and the Board did not participate in the decision.
The meeting decided that the Board shall consist of five members and no deputies and that a registered accounting firm shall be appointed as auditor.
The meeting decided that compensation paid to the Board in accordance with the nomination committee's proposal, will be SEK 150 000 to the chairman and SEK 75 000 to each of the directors equaling a total amount of 450 000 SEK. The meeting decided that fees paid to the auditor shall be paid in accordance with approved invoices.
The meeting decided reelection of the Directors Claes Drougge, Jan Ahlgren, Michael Auerbach and Adam Rothstein and new election of Rolf Schytt. The AGM also approved the election of the registered accounting firm Ernst & Young AB, with authorized public accountant Clas Tegidius lead auditor.
The meeting decided unanimously on the authorization for the issue in accordance with the Board's proposal, Appendix 2.
The meeting decided with the required majority on the issue of warrants in accordance with the shareholder Mikael Hult's proposal, Appendix 3. The Meeting approved Thus, the transfer of the warrants to the Participants (as defined in the draft decision).
