Cybercom's new share issue to partially finance Consafe Infotech acquisition Cyber Com Consulting Group Scandinavia AB (publ) has acquired 94.9 % of the shares in Consafe Infotech AB. Under the agreement, half of the purchase-sum is payable in shares in Cybercom. Cybercom intends to give the same offer to the minority shareholder's in Consafe Infotech AB and Consafe Infotech Syd AB in order to obtain a fully owned group of affiliated companies. Hence, the Board of Directors, by authority of the shareholders, decided to issue a maximum of 151,000 new shares in Cybercom with a nominal value of SEK one (1) per share. Right to subscribe for the shares shall, with deviation from the shareholders' preferential rights, fall upon the minority shareholders in Consafe Infotech AB and Consafe Infotech Syd AB. From the issued capital a maximum of SEK 151,000 shall be allocated to the share capital and a maximum of SEK 3,850,500 to the premium fund. Subscription for the shares shall take place February 13, 2004, at the latest, and payment shall be made the same day by contribution of up to 28,529 shares in Consafe Infotech AB and 495 shares in Consafe Infotech Syd AB. The new shares entitles to dividend as from the fiscal year 2004. In total, the acquisition yields an 11% dilution effect.
