Delete confirmes exact closing date of the Remondis transaction and the redemption date of its notes

DELETE GROUP OYJ | STOCK EXCHANGE RELEASE| 3 NOVEMBER 2023 AT 11:00 AM EET

Delete Group Oyj ("Delete") announced on 2 November 2023 that its shareholders have received all approvals required by relevant competition authorities to complete the sale of all the shares in Delete to Remondis Maintenance & Services International GmbH (the "Transaction"). Delete hereby confirms that the Transaction will be completed on 29 November 2023 (the "Closing Date") and all its outstanding senior secured notes maturing on 19 April 2024 (ISIN FI4000252119) (the "Notes") will be redeemed on 30 November 2023 (the "Redemption Date").

In accordance with the terms and conditions of the Notes, the redemption will be made at an amount equal to 101 per cent of the prepaid nominal amount per note together with accrued but unpaid interest (until and including the Closing Date) (the "Redemption Amount"). On the Closing Date, funds sufficient to cover the Redemption Amount will be paid into a blocked account of Delete held with Nordea Bank Abp (the "Escrow Account") from which the funds will be used on the Redemption Date towards the redemption of the Notes. The security and guarantees granted as security for all of Delete’s obligations under the Notes (other than the security granted over the Escrow Account) will be released by the security agent, Nordic Trustee Oy, on the Closing Date once the Redemption Amount has been paid into the Escrow Account.

The Redemption Amount will be paid to each person who is registered as owner of the Notes at the end of the Closing Date. In connection with the redemption, the Notes will be delisted from Nasdaq Helsinki.
