Delete Finland Oy divests Delete Ympäristöpalvelut Oy
Delete Finland Oy, part of the Delete Group ("Delete"), has signed an agreement on the divestment ("Transaction") of Delete Ympäristöpalvelut Oy, a subsidiary operating in the Recycling Services business area. The Transaction will be carried out by selling all the shares in Delete Ympäristöpalvelut Oy to Remeo Holding II Oy, which is the parent company of a well-known Finnish environmental services company Remeo Oy.
The net proceeds (after deducting transaction costs, certain net debt items and other adjustments) to Delete resulting from the Transaction are approximately EUR 36.3 million. The net proceeds from the divestment will be used to partially redeem Delete Group’s senior secured notes maturing in 2024 (ISIN FI4000252119).
Delete is one of the leading environmental service providers in the Nordic countries, currently divided into two businesses: Cleaning Services and Recycling Services.
As a result of the strategic review launched in 2018, Delete has investigated the potential sale of one or several of its business areas or sub-segments thereof, other than the Industrial Cleaning business area. During 2020–2021, Delete divested its Demolition Services companies. Following the completion of the Transaction, Delete will no longer operate in the Recycling Services business area, and the company will focus on the long-term development of Cleaning Services. In 2021, the net sales of Delete's Recycling Services business were EUR 25.0 million and the net sales of the Cleaning Services business were EUR 110.2 million.
The completion of the Transaction is not conditional upon approval of the competition authorities and is expected to be completed in June 2022.
