Desenio Group AB (publ) (“Desenio” or the “Company”), a fast growing online-based direct-to-consumer company within the global market for affordable wall art, today celebrates the first day of trading of its shares on Nasdaq First North Growth Market (the “Listing”). In connection with the Listing, certain existing shareholders of Desenio carried out a private placement of existing shares to qualified Swedish and international investors (the “Private Placement”). The Private Placement attracted strong interest from institutional and other high-quality investors, and was multiple times oversubscribed.

The Private Placement and the Listing in brief:

  • The price in the Private Placement has been set at SEK 72 per share, corresponding to a total value of approximately SEK 11.0 billion1.
  • The Private Placement comprised 53.8 million existing shares (the “Sale Shares”) offered by Verdane2, MBHB Holding AB, Hars Holding AB (Alexander Hars – Chairman of Desenio), Brand plus Net AB (Fredrik Palm – CEO of Desenio), and Mindful Ventures Investment AB, corresponding to an amount of approximately SEK 3.9 billion.
  • In addition, the Joint Global Coordinators (as defined below) have over-allocated approximately 8.1 million existing shares (the “Additional Shares”), which together with the Sale Shares represents the Private Placement. In order to cover any over-allotment in connection with the Private Placement, Verdane has granted the Joint Global Coordinators an option to purchase up to 8.1 million additional existing shares through an over-allotment option representing up to 15 percent of the Sale Shares (the “Over-Allotment Option”).
  • The Private Placement comprised a total of approximately 61.9 million shares, corresponding to a total value of approximately SEK 4.5 billion, and approximately 43 percent of the total number of shares in the Company, provided that the Over-Allotment Option is exercised in full.
  • Certain cornerstone investors, comprising funds managed and advised by Capital Research Global Investors, funds managed and advised by Capital World Investors, Cliens Kapitalförvaltning, DNB Asset Management, funds managed by Fidelity International, Handelsbanken Fonder, Kuvari Partners LLP, Lannebo Fonder and Ophir Asset Management Pty Ltd, have acquired shares in the Private Placement at the same price as other investors, corresponding to a total value of SEK 3.2 billion.
  • The Joint Global Coordinators will have a right to terminate the placing agreement until the settlement date 1 March 2021 in case any material adverse event occurs, the representations and warranties given by the Company and the selling shareholders are breached or any other conditions under the placing agreement are not fulfilled. Hence, if these conditions are not fulfilled, the Private Placement may be cancelled.
  • Trading in the Desenio share on Nasdaq First North Growth Market commences today, 25 February 2021, under the trading symbol “DSNO”.

Stabilisation measures

The Joint Global Coordinators may, in connection with the Listing, conduct transactions in order to maintain the market price for the shares at a level above what otherwise may prevail at the open market. Such stabilisation transactions may be carried out on Nasdaq First North Growth Market, in the over-the-counter market or otherwise, at any time during the period starting on the date of commencement of trading in the shares on Nasdaq First North Growth Market and ending not later than 30 calendar days thereafter. However, the Joint Global Coordinators have no obligation to undertake any stabilisation measures and there is no assurance that stabilisation measures will be undertaken. Under no circumstances will transactions be conducted at a price higher than SEK 72.

Liquidity provision

Desenio has entered into an agreement with ABG Sundal Collier whereby ABG Sundal Collier will act as liquidity provider for the Desenio share. The liquidity provision is carried out within the framework of Nasdaq First North Growth Market’s liquidity provision rules and entails that the liquidity provider continuously quotes a buy and sell volume corresponding to at least SEK 15,000, with a maximum spread of 4% between the bid and ask price. The purpose is to promote the share’s liquidity, and the liquidity provision commences on 22 March 2021.

ABG Sundal Collier AB and Carnegie Investment Bank AB (publ) act as Joint Global Coordinators and Joint Bookrunners in the Private Placement and in the Listing (the “Joint Global Coordinators”).
