Announcement under the Securities Market Act, Chapter 2, Section 9, of the
arrangement that may cause a change in the shareholding in SysOpen Digia Plc 

Pekka Sivonen, the largest shareowner in SysOpen Digia, has in connection with
the combination of Sysopen Plc and Digia Inc. granted certain former Digia's
Series B shareholders the right, within 12 months as of 4 March 2005, to purchase
at a certain pre-determined price 765,011 shares in SysOpen Digia corresponding
to 4.2 per cent of the shares and votes in the company (Call option).

Should the Call option be utilised in full, the holding of Pekka Sivonen
decreases below one fifth (1/5) of the shares and votes in SysOpen Digia. Pekka
Sivonen now owns a total of 21.2 per cent of the shares in SysOpen Digia.

As required by the Securities Markets Act, Chapter 2, Section 9, we report the
following information:

Complete name of the company: SysOpen Digia Plc, Business identity code 0831312-4

Effective date of the arrangement that may cause the change in shareholding: 7
March 2005

Holding in SysOpen Digia's votes and shares:

Pekka Sivonen's present shareholding is 3,829,068 shares in SysOpen Digia,
corresponding to 21.2 per cent of the shares and votes in the company. Should the
Call option be utilised in full, the holding of Pekka Sivonen decreases to
3,064,057 shares in SysOpen Digia corresponding to 16.9 per cent of the shares
and votes in the company.

At the date of this announcement the registered share capital of SysOpen Digia
consists of 17,929,662 shares. The share capital will, in connection to the
combination of Sysopen Plc and Digia Inc., be increased by 150,552 shares on 9
March 2005, which have been taken into account when calculating the shareholding
of Pekka Sivonen.
