Approval of Share Subscriptions

At its meeting on 8 March 2005, SysOpen Digia Plc's Board of Directors approved
subscriptions for shares carried out by certain holders of Digia Inc.'s A Series
shares, related to SysOpen Plc's and Digia Inc.'s merger, the number of new
SysOpen Digia Plc shares subscribed totalling 150,552.

Consequently, the total number of shares issued by SysOpen Digia Inc. will rise
to 18,080,214 and the share capital to EUR 1,808,021.40 on or about 9 March 2005.
