shareholders of Sentera in accordance with Chapter 14 Sections 19 - 21 of the
Companies Act and according to the conditions set forth below.

1.1. Redemption Price

The redemption price of the shares is 3,20 euros per share, which, according to

as referred to in Chapter 14 Section 19 of the Companies Act. The redemption
price also equals to the highest price paid by SysOpen Digia for the shares in
Sentera.

The redemption price is the same price that SysOpen Digia offers for the shares
in Sentera in the redemption offer in accordance with Chapter 6 Section 6 of the
Securities Market Act ("Redemption Offer") published on 19 June 2006.

2. Arbitration Procedure

The redemption of the shares in Sentera, that have not been voluntarily
transferred to SysOpen Digia in accordance with the procedure explained in

the trade register information of Sentera.

According to Chapter 14 Section 20 of the Companies Act SysOpen Digia may, six
(6) months from Sentera's notification concerning the claim for redemption, agree
on the terms of the redemption with the trustee if a shareholder has not notified
the company or the trustee that he objects to the said agreement and if there is
no dispute on the right to redeem or on the redemption price between SysOpen
Digia and another shareholder. The trustee shall also look after the interests of
all the absent shareholders in the arbitration procedure referred to in paragraph
