Subscription of SysOpen Digia shares with the 2003B- and 2005K2-stock options
SYSOPEN DIGIA PLC STOCK EXCHANGE ANNOUNCEMENT 24 February 2006 at 12.10 p.m.
Subscription of SysOpen Digia shares with the 2003B- and 2005K2-stock options SysOpen Digia Plc´s 2003B-stock options have been exercised and 504 new shares have been subscribed for. SysOpen Digia Plc´s 2005K2-stock options have been exercised and 6 998 new shares have been subscribed for. The share subscription price with the 2003B- stock options was EUR 2.78 per share. The share subscription price with the 2005K2- stock options was EUR 2.41 per share. The nominal value of the share is EUR 0.10. Following these subscriptions SysOpen Digia´s share capital will increase by EUR 750,20 totalling EUR 1,840,285.10. The total number of shares will increase by 7 502 shares to 18,402,851. The share subscription period with 2003B- stock options commenced on 2 May 2004. The share subscription period with 2005K2- stock options commenced on 1 June 2006. The 2003-stock option scheme is based on the resolution by the Annual General Meeting of Shareholders on 20 March 2003. The 2005-stock option scheme is based on the resolution by the Extraordinary General Meeting of Shareholders on 1 June 2005. The subscribed 7 502 new SysOpen Digia shares will be entered into the Trade Register on 24 February 2006. The new shares will carry shareholders' rights from the date of registration. SysOpen Digia has applied for their listing on the Helsinki Stock Exchange together with the company's existing shares. Trading in these shares will start approximately on 27 February 2006.
