SYSOPEN PLC TO EXPAND ITS PRODUCT AND TECHNOLOGY OFFERINGS,
AND TO STRENGTHEN ITS PRESENCE IN JYVÄSKYLÄ

Today on 28 April 2004, SysOpen Plc signed an agreement with
Done Information Oy for buying Done Information’s Software
Solutions business, encompassing customer-solutions and
product businesses based in Jyväskylä and Helsinki. The deal
will strengthen SysOpen’s customer base and presence in the
Jyväskylä region while expanding the company’s technology
and product offerings. Done Information’s 26 employees will
join SysOpen’s payroll under their current employment terms.

In 2003, Software Solutions reported net sales of around EUR
1.7 million, and net sales for 2004 are expected to come to
about EUR 1.3 million. Based on a cash transaction, the
total price of the deal is EUR 0.79 million, which was paid
at signing of the agreement.

SysOpen expects to reap substantial synergies by integrating
the Software Solutions business with its Jyväskylä office
and streamlining its operations; the Jyväskylä unit is
expected to reap such synergies in the form of higher net
sales and cost-savings as early as 2004. The acquisition of
Software Solutions will enhance SysOpen’s competitive
position as a provider of solutions for industry and public-
sector organisations by strengthening the existing customer
base and providing a range of major new customers.

SysOpen’s visible presence in the Jyväskylä region will also
provide the company with the great advantage of making use
of the centre of IT expertise built around the University of
Jyväskylä, coupled with greater opportunities to offer its
services to local customers and certain customers on a
nationwide basis as well. Following the acquisition, SysOpen
has a staff of 30 in Jyväskylä.

As a result of the acquisition, SysOpen’s technology
solutions will branch out into Lotus/Domino and Microsoft’s
NET-based systems, coupled with expertise in ERP software
integration. In addition, Done’s Pro Diary, an electronic
work shift diary for production plants designed for
information transfer and distribution and in-house
reporting, will also supplement SysOpen’s product portfolio.
The acquisition will also enable SysOpen’s service centre to
provide system rollout and support services.
