SYSOPEN'S BOARD OF DIRECTORS PROPOSES AN EXTRA DIVIDEND SysOpen's Board of Directors has at its meeting on 23 November 2004 decided to convene an Extraordinary General Meeting on Monday, 13 December 2004, starting at 10 am in SysOpen's headquarters (SysOpen Tower). The Board of Directors proposes that, in addition to the dividend resolved at the Annual General Meeting on 24 March 2004, a dividend of EUR 0.06 per share be distributed for the financial year ended on 31 December 2003. The proposed total extra dividend amounts to EUR 0,56 million. The proposed additional dividend will be paid to shareholders who are registered in the company's shareholders register maintained by the Finnish Central Securities Depository Ltd on the record date for dividend payment, which is 16 December 2004. The additional dividend is proposed to be paid as of 23 December 2004. The proposal is based on SysOpen's strong balance sheet. Major shareholders of SysOpen, who together hold 50.1 per cent of the shares and votes in SysOpen, have beforehand announced that they will support the proposal. RIGHT OF ATTENDANCE Shareholders who are registered in the company's share register maintained by the Finnish Central Securities Depository Ltd by 3 December 2004 may attend the Extraordinary General Meeting. NOTICE OF ATTENDANCE Shareholders wishing to attend the Extraordinary General Meeting must notify the company no later than 4 p.m. on Tuesday 7 December 2004.
