19.11.2008 DOF SUBSEA ASA: STATUS OF ACCEPTANCES RECEIVED UNDER DOF ASA’S OFFER TO ACQUIRE SHARES IN DOF SUBSEA ASA - DISCLOSURE OF LARGE SHAREHOLDING

Reference is made to the press release and the offer document dated 28 October 2008 prepared in connection with the offer put forward by DOF ASA (DOF) to purchase the remaining outstanding shares in DOF Subsea ASA (DOFSUB) not already owned by DOF at an offer price of NOK 36.00 per share payable in cash (the “Offer”).

DOF is pleased to announce that as of the release of this announcement, DOF has received and registered acceptances for 39,559,028 shares representing 33.04% of the total number of DOFSUB shares. Prior to the Offer, DOF owned 68,455,991 shares in DOFSUB representing 57.17% of the total number of shares in DOFSUB. The total DOF shareholding including the DOFSUB shares covered by the acceptances received and registered under the Offer and assuming completion of the Offer will therefore be 108,015,019 DOFSUB shares representing 90.21% of the total number of issued shares and votes in DOFSUB.

The acceptance period under the Offer will lapse on 19 November 2008 at 17:30 CET.

DOF SUBSEA ASA: STATUS FOR AKSEPTER MOTTATT UNDER DOF ASAs TILBUD OM KJØP AV AKSJER I DOF SUBSEA ASA – FLAGGING

Det vises til pressemelding og tilbudsdokument datert 28. oktober 2008, utarbeidet i forbindelse med tilbudet fremsatt av DOF ASA (DOF) for kjøp av gjenværende utestående aksjer i DOF Subsea ASA (DOFSUB) som ikke allerede er eid av DOF til en pris av NOK 36,- pr aksje kontant (”Tilbudet”).

DOF er tilfreds med å kunne meddele at selskapet ved offentliggjøring av denne meldingen har mottatt og registrert aksepter for 39 559 028 aksjer som representerer 33,04% av det samlede antall DOFSUB aksjer. Før Tilbudet eide DOF 68 455 991 aksjer i DOFSUB som representerte 57,17% av totalt antall aksjer i DOFSUB. DOFs samlede eierandel inklusive DOFSUB aksjer dekket av mottatte og registrerte aksepter mottatt i forbindelse med Tilbudet utgjør således 108 015 019 DOFSUB aksjer som representerer 90,21% av samlet antall aksjer og stemmer i DOFSUB.

Akseptfristen under Tilbudet utløper 19. november 2008 kl 17:30 CET.
