Registration of share capital

Reference is made to the announcement published June 10, 2008, regarding
the aqcuisition of MV Skandi Neptune from DOF Rederi AS, where it was announced that DOF Subsea ASA would issue 7 million new shares to DOF Rederi AS as part of the settlement.
This increase of the share capital has now been registered with the
Norwegian Register of Business Enterprises. Price per share in the transaction was according to the original agreement of 2005 set to NOK 19.50 per share. The total registered share capital of the company is now NOK 598,668,570 consisting of 119,733,714 shares, each with par value of NOK 5,00.
