EAB Group Plc: Correction to the releases published on 31 March 2021 and 27 April 2021 about the transfer of EAB Group’s own shares

The company corrects the number of own shares reported incorrectly in previous stock exchange releases as follows:

On 31 March 2021, EAB Group Plc announced that it has transferred without consideration a total of 1,753 own shares held by the company to its former key employee on 31 March 2021. Following the transfer, the correct number of own shares held by the company was 41,783.

On 27 April 2021, EAB Group Plc announced that it has transferred without consideration a total of 1,289 own shares held by the company to its current key employees on 26 April 2021. The correct number of the transferred own shares is 3 890. Following the transfer, the correct number of own shares held by the company is 37,893.

The transfers are related to the payment of deferred variable remuneration and are in accordance with the Company's remuneration scheme.

The regulation requires that, to the extent that a reward scheme for so-called risk-takers may result in a variable remuneration of more than €50,000 per calendar year, at least 40% of the defined variable remuneration must be deferred over a period of 3–5 years. Up to half of the remuneration payable at any given time may be paid in cash. The non-cash payment must be made in EAB Group Plc shares.
