The board of directors of Eastnine AB (publ) (”Eastnine” or the ”Company”) has, based on the authorization granted by the annual general meeting on May 12, 2020, resolved on a sale of one (1) million treasury shares at a price of SEK 115 per share (the “Transaction”). The price has been determined through an accelerated book building procedure and corresponds to a discount of 5.1 per cent in relation to the closing price on Nasdaq Stockholm on 18 November 2020. Eastnine receives SEK 115 million before transaction costs through the Transaction.

Both existing and new shareholders acquired shares in the Transaction. Eastnine intends to use the proceeds to continue growing by completing real estate acquisitions on the Company’s core markets. The reason for completing a capital raise through sale of treasury shares and for deviating from the shareholders’ preferential rights were to obtain capital in a time and cost efficient manner as well as to increase the institutional shareholder base.

The total number of shares in the Company remains unchanged at 22,370,261. As a result of the Transaction, the Company’s holding of treasury shares decreases from 1,221,200 to 221,200, corresponding to a decrease from approximately 5.5 per cent to approximately 1.0 per cent of the total number of shares in the Company.

In connection with the Transaction, the Company engaged ABG Sundal Collier as financial advisor and sole bookrunner and Gernandt & Danielsson Advokatbyrå as legal advisor.
