EasyFill AB (publ) completes agreement on divestment of Ebeco, which entails disclosure of major holdings
EasyFill AB (publ) announced in a press release on September 13, 2024 that the company had signed a letter of intent (LOI) with the Slovak management of Ebeco regarding the sale of Ebeco s.r.o., Ebeco Slovakia s.r.o. and Ebeco AS. The transaction was completed on September 30, 2024.
EasyFill AB (publ) has completed the sale of its subsidiaries Ebeco s.r.o., Ebeco AS and its 30 percent stake in Ebeco Slovakia s.r.o. The transaction, which was first announced in a letter of intent earlier this month, is part of EasyFill's strategy to focus on its core business in smart retail solutions. The Trailers business area will thus be removed from the Group.
The sale is made through transfers of 13,233,565 EasyFill shares from the buyers to EasyFill AB (publ). The transaction entails an impairment of the book value of the subsidiaries of SEK 28.9 million in the parent company EasyFill AB (publ) without any impact on the Group's balance sheet. The transaction will reduce the Group's sales and costs but have a marginal impact on the year's operating profit. Through the sale, EasyFill's financial risks and indebtedness are reduced. The transaction has a low liquidity impact.
EasyFill and Ebeco will continue to collaborate on the production of EasyFill's shelving system, which was a prerequisite for the deal. The sale will contribute to savings for EasyFill, which strengthens the company's ability to focus on growth and further development of the company's smart retail solutions.
In connection with this, Henning Bersagel is removed as one of the company's largest owners with just over 12 million shares equal to 5.76% of the capital, entails disclosure of major holdings. For the time being, the shares will be held by the company itself.
