Bulletin from extraordinary general meeting on 4 January 2023 of Wicket Gaming AB

The Extraordinary General Meeting of Wicket Gaming AB, org. nr 559015-1360, (the "Company"), was held today, 4 January 2023, in Stockholm. All resolutions were adopted with the required majority in accordance with the Board of Directors’ previously announced proposal. In view of the ongoing processing of the prospectus which the Company is preparing and will publish for the rights issue of units, it was decided that the subscription period for the rights issue shall instead commence one trading day after the date on which the Swedish Financial Supervisory Authority approves the prospectus and run for a period of 14 days. The Company intends to provide an updated timetable for the rights issue in connection with the approval of the prospectus by the Swedish Financial Supervisory Authority.

Resolution to amend the Articles of Association

It was resolved to amend the limits on the share capital and the number of shares in the Articles of Association. According to the new Articles of Association, the share capital shall amount to not less than SEK 19,477,735 and not more than SEK 77,910,940 and the number of shares shall amount to not less than 19,477,735 and not more than 77,910,940. The limits may be adjusted downwards to the extent necessary for the registration of the new Articles of Association following the completion of the Company's planned rights issue.

Resolution approving the Board's decision on the rights issue of units

It was resolved to approve the resolution of the Board of Directors dated 2 December 2022 on a rights issue of up to 3,895,547 units, each unit consisting of three shares and two warrants of series TO2. In view of the ongoing processing of the prospectus that the Company is preparing for the rights issue of units, it was decided that the subscription period for the rights issue shall instead commence one trading day after the date on which the Swedish Financial Supervisory Authority approves the prospectus and run for a period of 14 days. The final day of the subscription period shall fall on a trading day. The company intends to provide an updated timetable for the rights issue in connection with the approval of the prospectus by the Swedish Financial Supervisory Authority.

Resolution on approving the Board of Directors' resolution on a directed issue of warrants of series TO2

It was resolved to approve the Board of Directors' resolution of 2 December 2022 on an issue of 1,333,333 warrants series TO2, directed to Formue Nord Fokus A/S.

Resolution to authorise the Board of Directors to resolve on issues of shares, warrants and convertible debentures

It was resolved to authorise the Board of Directors to resolve on one or more occasions during the period until the next annual general meeting, on new issues of shares, warrants and/or convertible debentures against payment in cash and/or with provision for contribution in kind or set-off, and to be able to deviate from the shareholders' preferential rights in this respect. If the authorisation is exercised for an issue without preferential rights for the shareholders, the number of shares issued shall not exceed a total of 20 per cent of the number of shares in the Company at the time of the first exercise of the authorisation.

Resolution authorising the Board of Directors to make minor adjustments to the resolutions adopted at the meeting

It was resolved to authorise the Board of Directors, the CEO or the person otherwise appointed by the Board of Directors to make such minor adjustments and clarifications to the resolutions adopted at the meeting as are necessary for the registration of the resolutions.
