Enea completes acquisition of a global software business

On December 20, 2018, Enea AB (publ) (“Enea”) announced that it had made an offer to acquire a business unit from Atos Convergence Creators with leading positions in policy management, authentication, and subscriber data management. Enea also agreed to license certain technology from Atos.
The acquisition has now been completed. As previously announced, the total consideration amounts to approximately 18 MEUR and is financed through cash and bank loans. 10 MEUR was paid in December 2018 and the remaining purchase price, with deductions for assumed debt, is due by 1 December 2019.
The business unit is headquartered in Austria, with additional sales and development sites in Germany, Croatia, and the US, and is estimated to generate annual revenues of approximately 12 MEUR in 2019. The acquired business will be consolidated in Enea’s financial statements as from March 2019. Consequently, Enea estimates that the acquired business will contribute approximately 10 MEUR in new revenues for 2019. Furthermore, the business is expected to be profitable, and earnings per share accretive already in 2019.
With this acquisition, Enea expands its portfolio with new cloud-ready products for the 5G mobile core, including UDM (Unified Data Management), UDR (User Data Repository), AUSF (Authentication Server Function), and PCF (Policy Control Function). The transaction also brings products and business with a focus on PCRF (Policy and Charging Rules Function) and AAA (Authentication, Authorization, and Accounting) for the fourth generation of mobile networks.
In addition, the acquisition strengthens Enea’s position in the converged data layer for the fifth generation of mobile networks, a key investment area for the company. Enea is already a leader in subscriber data management with the Stratum Cloud Data Manager – an NFV-ready 5G telecom cloud database. The new acquisition adds additional products and key expertise in this domain, and brings an extensive set of front-end applications that can leverage the data layer in the mobile core.
