Enea implements guaranteed rights issue of SEK 91 million Enea's Board of Directors has decided to implement a rights issue of about SEK 91 million before issue expenses on condition of approval by an extraordinary shareholders' meeting. Every existing share confers the right to subscribe to a newly issued share at the issue price of SEK 0.50. The rights issue in its entirety is secured by subscription commitments and a guarantee agreement. An important part of Enea's new strategy is an increased product orientation and deepened relations with a limited number of large international customers. An investment in Enea's products increasingly involves a strategic decision for these customers and a long-term commitment for Enea. Besides continuing to offer the highest possible product performance and competence, Enea must thereby have high credibility as a long-term supplier. In this respect, financial strength and endurance have become ever more important parameters. Furthermore, Enea intends in the long run to offer a more complete product range, in part through internal development and in part through selective acquisitions. The company intends, among other things, to carry out investments in the recently started business area, Enea Services Enabling Technology. This too requires a strong financial position. In addition to the above, among others as a consequence of the newly implemented comprehensive restructuring program, Enea has a short term need to bolster its liquidity. In light of the above, Enea's Board of Directors has decided to, on condition of approval by an extra shareholders' meeting, implement a new share issue with preferential rights for shareholders. The new share issue, secured in its entirety by subscription agreements and an issue guarantee agreement, is estimated to supply Enea with about SEK 91 million before issue expenses. The new share issue will be carried out with the following conditions: - The newly issued shares are offered to Enea's shareholders with preferential rights, whereby an existing share confers the right to subscribe to one new share - The new share issue covers 182,156,862 shares 1) - The issue price is SEK 0.50 per share - The new share issue is secured by an issue guarantee agreement with Catella Investments AB and also by the Lindberg family including companies, who has committed to subscribe to 17.000.000 shares. Time plan for the new share issue: - The Board will call an extraordinary shareholders' meeting 11 June 2003 in Stockholm, Sweden. - Subscriptions can be made in the period from 30 June 2003 to 18 July 2003, inclusive. - A prospectus will be distributed to the shareholders around 25 June 2003. - The record day for deciding which shareholders will be entitled to subscribe to new shares is 19 June 2003. - The last day for trading of shares, including subscription rights, is 16 June 2003. - Subscription rights will be traded on the OM Stockholm Exchange O- list starting 30 June 2003 and ending 15 July 2003. - The Board's complete decision is available at the company's office in Täby, Sweden.
