Enea Sells its Shares in Combitech Systems Enea Data AB sells its 35 percent of the shares in Combitech Systems AB, a company within the Saab Group, to Saab AB, effective today. The purchase price comprises a base purchase price amounting to SEK 87.5 M together with an additional purchase price, based upon future development, that will be paid no later than August, 2003. The size of the additional purchase price can not be established today. Combitech Systems AB has since the start 1992 been co-owned by Saab (65%) and Enea (35%). This relationship has been regulated by a shareholder agreement which has created a deadlock situation for both owners and to which both owners have been trying to find a solution for some time. For Enea, the corner position in Combitech Systems has been a long term financial investment since the start 1992. The relation between Enea's consulting business and Combitech Systems has throughout the years meant cooperation as well as competition. The owners agree that today's deal is the best solution for the company and for its owners. One sole owner creates better possibilities for different alternatives to future development in value of Combitech Systems AB.
