AGM - Eniro AB At the Annual General Meeting of Eniro AB (publ) today the following was decided: · Re-election of the Board · Authorisation for the Board to make decisions concerning a new issue of 25 000 000 new shares of a nominal value of (1) krona · Dividend to the shareholders of 0.65 kronor per share Re-election of the Board The members of the Board Björn Svedberg (Chairman), John Abrahamson, Lars Berg, Per Bystedt, Marianne Nivert, Jan Rudberg and Lars Guldstrand (Chief Executive Officer) were re-elected. Authorisation for the Board to make a decision concerning a new issue The General Meeting authorised the Board to decide, during the period up to the next annual general meeting, upon one or several occasions to increase the share capital by an amount of, in aggregate, at most 25 000 000 kronor, by means of a new issue of in aggregate at most 25 000 000 new shares. The Board shall be able to decide on the issue of the new shares subject to conditions as referred to in Chapter 4, Section 6 of the Swedish Companies Act (payment in kind or set-off) and deviating from the priority rights of the shareholders. The reason for the authorisation and the power to deviate from the priority rights of the shareholders is to enable the Company to finance and, when appropriate, offer shares as payment in conjunction with acquisition of companies/businesses and thereby make possible a future expansion of the operations of the Company. Dividends The meeting decided to pay 0.65 kronor per share as dividend to the shareholders, and the share registration closing date for the dividend is 10 May 2001.
