Eniro in negotiations with Finnish telecom operator Elisa Communication Corporation regarding an acquisition of its directory business Termination of the SEAT Offer Eniro AB (pub) expects that the offer by SEAT PAGINE GIALLE (Spa), ("SEAT") to acquire all of the outstanding shares of Eniro will terminate. SEAT's offer was conditioned on the receipt of acceptances in respect of 50.1% or more of the Eniro shares and SEAT has stated that it will not waive this condition. The offer period has ended and Eniro has been informed by shareholders of more than 50.1% of its shares that they have not accepted SEAT's offer and, accordingly, the offer is likely to terminate. Eniro's CEO Lars Guldstrand commented on the termination of SEAT's offer as follows: "It is business as usual at Eniro. We are well positioned to grow strongly as an independent company. Eniro's three focus areas remain firmly in sight. We will continue to strengthen the positions in our current markets with vigor. We also will continue to focus on expanding our online services, and will continue to pursue international growth." Negotiations to Purchase Elisa's Directory Business Eniro has signed an Letter of Intent and entered into exclusive negotiations regarding an acquisition of Elisa's directory business. The business is conducted by Direktia Oy under the Direktia name. Key terms of the purchase agreement, including price, remain to be negotiated. Eniro expects that consideration for the acquisition with would be newly issued shares in Eniro. Eniro believes an acquisition of Direktia's business would strengthen Eniro's presence in Finland, especially in the Helsinki B2C-market. In addition, Eniro foresees potential synergies with its existing operations in Finland. Eniro has been established in Finland since 1986. "Direktia Oy is the second largest player in directory media in Finland and is by far the major publisher of the official Yellow Pages in the Helsinki area. Through the acquisition we can further strengthen our position in Finland. This acquisition is in line with our strategy for continuing international expansion and strengthening our market position in current markets", says Lars Guldstrand, President and CEO of Eniro. Direktia offers directory services, both off and on line, under strong brand names. The business had year 2000 revenue of approximately SEK 370 million, with an EBITDA of approximately SEK 55 million.
