Eniro's acquisition of Polish directory company is formally concluded The Polish competition authority has now approved Eniro's acqusition of the Polish directory company Panorama Polska. Consequently, the parties have been able to close the deal. Eniro has acquired the company from Telia for about SEK 1,170 M. Payment is partially in newly issued Eniro shares. In March, Eniro AB (publ) announced that the company intended to acquire the Polish company Panorama Polska Sp.Z.o.o. from Telia AB (publ). The acquisition was conditional among other terms on the approval of the Polish competition authority. As previously announced, pending the approval of the acquisition the Board of Eniro decided on May 4, 2001 on an issuence of 8,197,400 new shares in Eniro to Telia. The shares were issued at a subscription price of SEK 116.78 per share. The issue was also conditional on the necessary approval from the Polish competition authority. The Polish competition authority has now approved the acquisition. Accordingly, the previous communicated issue decision by the Board of Eniro and Telia's subscription of the newly issued shares could be implemented. As payment for all shares in Panorama Polska, the Board of Eniro has decided to allot Telia 8,197,400 newly issued shares in Eniro. In addition, Eniro has paid Telia a cash portion of SEK 216,076,925. Panorama Polska is consolidated in Eniro's accounts as of the second quarter of 2001. Panorama Polska is the largest directory company in Poland, with sales in 2000 of about SEK 410 M, of which 5% from its online operations. The company has about a 50% market share in Poland. The Polish advertising market is showing favorable growth and one of the largest growth potentials in Europe. The Polish advertising market grew 11% in 2000. With the acquisition of Panorama Polska, Eniro is active in 23 countries with 3,200 employees and about 800 directory titles in 35 million copies.
