Eniro's two German acquisitions finalized The acquisitions are now completed after necessary approvals, thereby finalizing the inclusion of Windhager and WLW in the Eniro group of companies. In December 2000, Eniro announced its intention of acquiring the two German directory businesses, Windhager and Wer liefert was? (WLW). Both transactions has now been closed, after the necessary approvals by the German Federal Cartel Office. The effective day of closing WLW was December 28, 2000. WLW will thereby be consolidated by Eniro into the balance sheet on December 31, 2000. The acquisition of Windhager was effective of January 1, 2001. Windhager is the market-leading directory company in the B2C segment (Yellow and White pages) within the Baden-Würtemberg and Leipzig regions. Windhager's revenues for the financial year 1999/2000 amounted to approximately SEK 370 million, with an operating income before depreciation and goodwill amortisation (EBITDA) of approximately SEK 70 million. The purchase price amounted to approximately SEK 840 million in cash (EUR 99 million). WLW is one of the leading B2B online directory businesses in Europe and ope-rates in 13 countries. Revenues for the year 2000 are forecasted to be approx. SEK 360 million with an operating income before depreciation and goodwill amortisation (EBITDA) of approximately SEK 70 million. The purchase price amounted to SEK 1,100 million (EUR 125 million). Payment will consist of SEK 570 million in cash plus SEK 530 million in the form of newly issued Eniro shares. The issuance of new shares for acquisition purposes is within the authority that was granted to Eniro's Board during a recent Extraordinary Shareholders Meeting. The number of shares to be issued will be calculated according to the average price paid during a period of twenty trading days from the middle of January to the middle of February. These two acquisitions will add approximately 25 percent to Eniro's total revenues and the German market will become Eniro's second largest market, after Sweden. Through these acquisitions, Eniro will become one of Europe's leading providers of B2B information and the leading directory business in Northern Europe, as well as establish a firm platform for further expansion.
