Invitation to Annual General Meeting in Eniro AB

The Board of Directors of Eniro AB (publ) decided today to invite to the Annual General Meeting of Shareholders on March 31, 2003. - Redemption of shares amounting to approximately SEK 700 M. - Doubled dividend to the shareholders with SEK 1.40 per share. - Lars Berg is proposed to succeed Björn Svedberg as chairman of the board.

Redemption of shares amounting to approximately SEK 700 M The Board of Directors proposes to the General Meeting that the share capital will be reduced by a maximum amount of SEK 8,809,047 for the purpose of repayment to the shareholders, and that the share premium reserves will be reduced by a maximum amount of SEK 695,914,713 for the purpose of repayment to the shareholders as premiums in connection with the reduction of the share capital. The reduction of the share capital shall take place by way of redemption of up to 8,809,047 shares, at which the nominal value of SEK 1 will be paid for each redeemed share. In addition, a premium in the amount of SEK 79 will be paid for each redeemed share; in total, an amount of SEK 80 will thus be paid for each redeemed share. Each share in the Company shall entitle the holder to obtain one redemption right, and share­holders shall be entitled to request redemption of one share for every 20 redemption rights held. Proposed record date for the obtaining of redemption rights is 3 April, 2003. It is proposed that a sale free of brokerage maximized to 1000 redemption rights should be possible. Last day for sale free of brokerage is proposed to be 29 April, 2003. The full terms of the Boards' proposal for resolution regarding redemption plan will be available from 24 March, 2003. Dividend The Board of Directors proposes that a dividend of SEK 1.40 per share shall be paid to the shareholders. The proposed record date for dividend is 3 April, 2003. If the General Meeting decides in accordance with the proposal for dividend, the payment is expected to be made on 8 April, 2003 by VPC AB (the Swedish Securities Register Centre). Lars Berg is proposed to succeed Björn Svedberg as chairman of the board The nomination group that has prepared proposal for the composition of the board has proposed that Lars Berg will succeed Björn Svedberg as chairman of the board. The work of the group regarding proposal for the number of members of the board, fee, and election of other members of the board continues.   Time and Place The Annual General Meeting will be held on Monday, March 31, 2003 at 17.00 hours at Näringslivets Hus, conference room Wallenbergaren, Storgatan 19, Stockholm.
