Invitation to Annual General Meeting in Eniro AB The Board of Directors of Eniro AB decided today to invite to the Annual General Meeting of Shareholders on May 14, 2002. The Annual General Meeting is proposed the following: * Reelection of the present members of the Board of Directors, and election of one new member. * Authorization for the Board to decide on issuance of 17,000,000 new shares at a nominal value of SEK one (1). * Dividend to the shareholders with SEK 0.70 per share. Reelection of the present members of the Board of Directors, and election of one new member The Board members Björn Svedberg (Chairman), John Abrahamson, Lars Berg, Per Bystedt, Jan Rudberg and Lars Guldstrand (President and CEO) are proposed for reelection. Additionally Birgitta Klasén is proposed for new election. Birgitta Klasén is working as Senior Advisor with focus on IT and Europe. She is a member of several boards, i.a. in Föreningssparbanken, Ledstiernan and E.ON Energie B.V. Authorization for the Board to decide on issuance of new shares The Board of Directors proposes that the Annual General Meeting gives the Board of Directors authority to, during the period up to the next Annual General Meeting, on one or several occasions, decide on increase of the share capital by new shares, each of a nominal value of SEK one (1). The Board of Directors shall be authorized to decide on new share issue subject to or without such conditions as are referred to Chapter 4, Section 6 of the Swedish Companies Act (payment in kind or set-off) or with or without deviation from the pre-emption rights of shareholders. The reason for the Board of Directors recommending this authorization and the power to deviate from the pre-emption rights of shareholders is to enable the Company to finance and, when appropriate, offer shares as a means of payment in conjunction with the acquisition of companies/businesses and thereby facilitate the future expansion of the operations of the Company. The Board's complete proposal for decision on authorization to issue new shares will be available two weeks prior to the Annual General Meeting. Dividend The Board proposes a dividend of SEK 0.70 per share to the shareholders and proposes the May 17, 2002 to be the record date for the dividend. Time and Place The Annual General Meeting will be held on Tuesday, May 14, 2002 at 17.00 hours at Näringslivets Hus, conference room Industrisalen, Storgatan 19, Stockholm.
