Withdrawal of proposals to the Annual General Meeting regarding an incentive programme for the management and the Board of Directors, respectively

The Board of Directors of Episurf Medical AB (publ) (“Episurf” or the “Company”) has today decided to withdraw its proposal under item 15 on the proposed agenda for the Annual General Meeting, which is to be held on April 8th 2019. The proposal related to the adoption of an employee stock option and warrant programme for the CEO and the other members of the management in Episurf, as well as issuance and transfer of warrants related thereto. The reason for the Board of Directors' decision to withdraw the proposal is the resolution by the Board of Directors on a rights issue, subject to approval by an Extraordinary General Meeting, which was made public today.  

Because of the same reason, the shareholder LMK Forward AB has today decided to withdraw its proposal under item 16 on the proposed agenda for the Annual General Meeting. The proposal related to the adoption of an incentive programme for the members of the Board of Directors of Episurf, as well as issuance of warrants related thereto.
