Esmaeilzadeh Holding divests its holding in Dentalum
Esmaeilzadeh Holding AB (publ) ("EHAB") has entered into an agreement for an internal sale of its shares in Dentalum Group AB (publ) (“Dentalum”), to Dentalum’s existing shareholder RoosGruppen AB (“RoosGruppen”). EHAB will receive a capital injection of MSEK 138, and has agreed on a potential percentual earn-out should the shares be resold. As a result of the transaction, EHAB will record a negative, non-cash flow affective, adjustment of its net asset value of MSEK 400.
The divestment will be reflected in EHAB’s net asset value for June which is published on 15 July 2024.
"The price does not reflect EHAB’s view of Dentalum’s long term value, but the arrangement safeguards an important capital injection for EHAB, a smooth transaction, and Dentalum maintains good opportunities for growth", says Mikael Ericson, CEO of EHAB.
EHAB has been invested in Dentalum since the company made its first clinic acquisition in 2019 and the company has since grown into a large dental group, with 30 clinics all around Sweden.
"Today, Dentalum stands on firm ground, with a strong organization, a unique care philosophy and a strong financial position. Dentalum is one of EHAB’s first platform companies that we have had the pleasure of developing, together with the founders Max and Marcus. We have learned many lessons from the investment that we will benefit from for our new company builds and wish the entire Dentalum team good luck in its continued company journey", Mikael Ericson continues.
