European Directories BondCo S.C.A. announces approval of written procedure and amendments to the terms and conditions of its Bonds

European Directories BondCo S.C.A., incorporated under the laws of the Grand Duchy of Luxembourg and registered with the Luxembourg trade and companies register under the number B 181401 (the ”Company”) announces the successful completion of the written procedure in relation to the EUR160,000,000 senior secured floating rate notes (ISIN SE0005505831) (the "Bonds"), regarding certain amendments to the terms and conditions of the Bonds (the “Proposal”). The principal terms of the amended terms and conditions include an extension of the Bonds of 2.5 years to 9 June 2021 and an increase of the interest margin of 150 bps to 8.5%. The amendments became effective immediately as of 9 March 2018.

A sufficient number of bondholders participated in the written procedure in order to form a quorum, and a requisite majority of the bondholders voted in favour to approve the Proposal.

As a condition for the amendments, the Company will arrange for a consent fee of 1.0% of the face value of the respective bondholders’ holdings of the Bonds, which will be paid to the bondholders within six (6) business days from 9 March 2018.
