EXEL COMPOSITES PLC STOCK EXCHANGE ANNOUNCEMENT 8.1.2010 at 12.30 EXEL COMPOSITES PLC’S SUBSIDIARY MERGER ENTERED INTO TRADE REGISTER The merger of Exel Sports Oy (Business ID 1955851-4) into its parent company Exel Composites Plc (Business ID 1067292-7) was entered into the Finnish Trade Register on 31 December 2009. Exel Sports Oy’s assets and liabilities were transferred to the parent company Exel Composites Plc without liquidation. No merger consideration was paid for the merger, as the parent company owned all of the shares of the merging company. The merger did not cause any amendments to Exel Composite Plc’s Articles of Association. The reason for the merger was the clarification of the company structure.
