Clarification regarding the acquisition of Camp Ripan

As communicated separately, First Camp has signed an agreement to acquire Camp Ripan, a well-established full-service, year-round destination in Kiruna in northern Sweden, offering hotel, cabins, camping, spa, dining and a wide range of Arctic experiences. Closing is expected in Q4 2025, subject to customary approvals.

To allow for a seamless and cost-efficient integration of Camp Ripan into First Camp Group in the future, the majority of the share capital in the acquiring entity will be owned by a subsidiary of First Camp Group. However, the majority of the voting shares will be held by a sister company outside of First Camp Group, and the acquiring entity will therefore not qualify as a subsidiary under the Terms and Conditions of the First Camp bond.

The acquisition will be financed outside the bond group, and any transfer of value from First Camp Group AB to the acquiring entity or Camp Ripan will be restricted under the Terms and Conditions of the bond.

Camp Ripan will continue to operate with its existing organization to ensure stability for guests, employees, partners and the local community.

Closing is expected in Q4 2025, following customary procedures.
