Fiskars increases the maximum number of own shares to be acquired with 300,000 shares
The Board of Directors of Fiskars Corporation has decided to increase the number of own shares to be acquired with 300,000 shares based on the authorization given by the Annual General Meeting on March 16, 2022. Together with the earlier decisions announced on February 4, 2022 and March 16, 2022, the maximum number of own shares to be acquired by Fiskars is 1,000,000, corresponding to a maximum of approximately 1.2 % of the total number of shares. As announced earlier, the shares shall be acquired through public trading on the Nasdaq Helsinki exchange at the market price prevailing at the time of purchase.
On February 4, 2022, Fiskars Corporation announced that the Board of Directors had decided to commence acquiring the company’s own shares and that the maximum number of shares to be acquired is 200,000. On March 16, 2022, the Board of Directors of Fiskars decided to increase the maximum number of own shares to be acquired by an additional 500 000 shares.
The share acquisition commenced based on the authorisation given by the Annual General Meeting 2021 and has continued based on the authorisation given by the Annual General Meeting 2022. The Annual General Meeting held on March 16, 2022 decided to authorize the Board of Directors to decide on the acquisition in total of a maximum of 4,000,000 own shares, in one or several instalments, using the unrestricted shareholders’ equity of the company. The authorization may be used to acquire shares to be used for the development of the capital structure of the company, as consideration in corporate acquisitions or industrial reorganizations and as part of the company’s incentive system and otherwise for further transfer, retention or cancellation. The authorization is effective until June 30, 2023.
The total number of shares in Fiskars Corporation is 81,905,242. On July 27, 2022, Fiskars Corporation owned 895,037 own shares.
