Swedbank´s Annual General Meeting 1999 The Annual General Meeting in Stockholm on April 29, 1999 adopted the proposed bonus issue, whereby the Bank's subscribed capital increases from SEK 7,037 million to SEK 10,556 million. The bonus issue conveys the right to shareholders to receive one new share for every two old shares they own. The record day for the right to participate in the bonus issue is Friday, June 4, 1999, which means that Tuesday, June 1, 1999 is the last day for trading in the Bank's share with the right to participate in the bonus issue. The Annual General Meeting approved a dividend of SEK 7.00 per share. The record day for the right to the dividend is May 4. The dividend is expected to be paid on May 11. The Annual General Meeting also also approved the proposal to amend the bank's articles of association owing in part to new legislation on business entities for banking companies, which has necessitated changes in, among other things, the mandate period for the Auditors, who will now be elected for four-year terms, and notification and registration procedures for the Annual General Meeting. In his address, President Reinhold Geijer stated: "Bank customers' demand for enhanced convenience and greater freedom of choice is impelling the increasingly rapid development of new points of encounter and new channels. At the same time as personal contact and local points of encounter are achieving increasing importance, I deem it highly probable that, within only a few years, the majority of our customers will be conducting their business via the Internet: via PC, TV or cellular phone. "Today, nearly 230,000 Swedbank customers use the Internet for conducting bank business with us. My judgement is that our Internet bank will have nearly a million customers by the end of 2001", Mr Geijer added. Following the Annual General Meeting, the Board of Directors consists of 15 members, which is three fewer than the previous Board. The following members were re-elected: Göran Ahlström, Tore Andersson, Göran Collert, Bo Dockered, Bo Forslund, Reinhold Geijer, Birgitta Johansson-Hedberg, Göran Johnsson, Hans Jonsson, Kurt Lodenius, Per Molin, Anna-Stina Nordmark-Nilsson, Per-Göran Nyberg, Marianne Qvick Stoltz and Leif Zetterberg. The Annual General Meeting also decided to re-appoint Authorized Public Accountants Ulf Egenäs and Torbjörn Hanson for a period of four years.
