Competition Authority approves Fortum's acquisition of E.ON Finland

The Finnish Competition Authority has confirmed its approval of the transactions
by which Fortum acquires 99.8% of the shares of E.ON Finland Oyj. The approval is
subject to the following conditions:

- Fortum divests its power plants in Haapavesi (generation capacity 154 MW)
and Hämeenlinna (generation capacity 65 MW power, 95 MW heat).
      
- Fortum leases out its 308 MW share of the Meri-Pori power plant until 30 June 2010.
      
- Fortum sells the equivalent of 1 TWh/a of constant generation capacity in the Finnish
area until 31 March 2011.

With this approval, the transactions with the City of Espoo and E.ON Nordic
respectively can be concluded, and closing is expected by end of June 2006.

E.ON Finland Oyj is an integrated power and heat company based in the city of
Espoo in southern Finland. In 2005, the company had a turnover of EUR 234
million, a production capacity of 171 MW power and 1,452 MW heat, roughly 162,000
electricity distribution customers and personnel of approximately 350 permanent
employees.
