Resolutions passed at Cell Network's annual general meeting

Cell Network's annual general meeting of shareholders on April 9, 2003 resolved to change the company's name to Mandator. Eva Elmstedt, Torgny Eriksson, Lennart Svanberg, Jan Signell, Niklas Flyborg and Maria Lilja were elected as the new board of directors.
The annual general meeting resolved to:

- change the company's name to Mandator AB;

- adopt the parent company and consolidated profit and loss statements for 2002 and balance sheets for December 31, 2002 presented in the annual report;

- discharge the board of directors and the CEO from liability for 2002;

- increase the number of board members elected by the general meeting from five to six but leave the total fee payable unchanged at SEK 600,000; Eva Elmstedt, Torgny Eriksson, Niklas Flyborg, Maria Lilja, Jan Signell and Lennart Svanberg were elected as members of the company's board of directors;

- elect Öhrlings PricewaterhouseCoopers AB as the company's auditor;

- change the limits on the company's share capital in the articles of association to not less than SEK 9,000,000 and not more than SEK 36,000,000 and reduce the par value of each share to SEK 0.05;

- reduce the company's share capital by SEK 84,586,269.60 from SEK 93,984,744 to SEK 9,398,474.40 and reduce the share premium reserve by SEK 305,982,686.71 from SEK 310,175,075.77 to SEK 4,192,389.06;

- carry out a 10:1 reverse share split and increase the par value of each share to SEK 0.50; implementation is planned for May 8, 2003; and

- appoint a nomination committee in accordance with the board of directors' proposal.

The board as a whole will serve as an audit committee. The board will appoint a smaller group of board members to handle remuneration issues.

The board withdrew the matter concerning the authorisation of the board to resolve to issue new shares. After fresh deliberation the board of directors is of the opinion that it will have sufficient time to call an extraordinary general meeting in the event that fresh capital needs to be raised.

After reaching a new settlement that is more favourable for shareholders, the board withdrew the matter concerning a private placing with the vendors of shares in A-Tind Holding AB. Cell Network will instead pay a lower purchase price of SEK 3 million in cash. Against this background no extraordinary general meeting was held.
