Frill Holding AB's Extra General Meeting resolved on new rights issue

At today's Extra General Meeting of Frill Holding AB (Frill), it was resolved, in accordance with the Board's proposal for a rights issue and a directed new issue regarding compensation to the issue guarantors and fees.

Prior to the new rights issue, Frill's share capital amounts to SEK 1,515,506.90, distributed among 30,331,138 shares, of which 3,000,000 A-shares and 27,310,138 B-shares. The share's quotient value is SEK 0.05.

Conditions for the new rights issue 

The new rights issue relates to a maximum of 30,310,138 B-shares. Each existing share, regardless of the class of share, entitles the holder to subscribe for one new B-share. The subscription price per share is SEK 0.50. No A-shares are issued.

The record date for the right to participate in the new rights issue is May 25, 2020.

Subscription with and without preferential rights shall take place during the period 27 May - 10 June 2020.

At full subscription, the new rights issue adds approximately SEK 15.2 million to Frill before issue costs. The new rights issue is guaranteed to an amount of SEK 12 million through agreements with issue guarantors.

Directed new issue regarding remuneration

The Extra General Meeting further resolved on a new issue of a maximum of 7,000,000 B-shares without preferential rights for the shareholders. Eligible subscribers are those who have guaranteed the rights issue as well as advisors with whom compensation has been agreed in the form of shares.

Frill Holding ABs extra bolagsstämma beslutade om nyemissioner

Vid dagens extra bolagsstämma i Frill Holding AB (Frill) beslutades i enlighet med styrelsens förslag om en företrädesemission av aktier samt en riktad nyemission av aktier avseende ersättning till emissionsgaranterna och arvoden. 

Frills aktiekapital uppgår före nyemissionerna till 1 515 506,90 SEK fördelat på 30 310 138 aktier varav 3 000 000 A-aktier och 27 310 138 B-aktier. Aktiens kvotvärde är 0,05 SEK.

Villkor för nyemissionen

Nyemissionen avser högst 30 310 138 B-aktier. Varje befintlig aktie oavsett aktieslag berättigar till teckning av en ny B-aktie. Teckningskursen per aktie är 0,50 SEK. Inga A-aktier ges ut.

Avstämningsdag för rätten att delta i nyemissionen är den 25 maj 2020.

Teckning med och utan företrädesrätt ska ske under perioden 27 maj – 10 juni 2020.

Vid full teckning tillför nyemissionen Frill ca 15,2 MSEK före emissionskostnader. Nyemissionen är garanterad till ett belopp av 12 MSEK genom avtal med emissionsgaranter.

Riktad nyemission avseende ersättningar

Bolagsstämman beslutade vidare om en nyemission av högst 7 000 000 B-aktier utan företrädesrätt för aktieägarna. Teckningsberättigade är de som garanterat nyemissionen samt rådgivare med vilka avtalats om ersättning i form av aktier.
