EXTRAORDINARY DIVIDEND PROPOSAL

The Board of Directors of Ganger Rolf ASA will
propose that the company pays an extraordinary
dividend of NOK 7.90 per share.

propose that the company pays an extraordinary
dividend of NOK 7.90 per share. The proposal is
based on a continued positive development of the
results within the company`s main businesses and
its strengthened financial position. The Board
emphasizes that this proposal should be regarded
as extraordinary as the ordinary dividend level
historically has amounted to NOK 1.37 per share
(as adjusted for the share split in June 2006).

An Extraordinary General Meeting in Ganger Rolf
will be held on 15th September. Provided that
the proposal is approved by such Extraordinary
General Meeting, the dividend will be paid to
all shareholders per 15th September 2006.
