SALE OF OWNERSHIP IN NSA

Ganger Rolf ASA (GRO) reports that the company
has entered into an agreement regarding the sale
of its 33,33 % shareholding in Norwegische
Shiffahrts-Agentur GmbH (NSA) to Ofoten og
Vesterålen Dampskibselskap ASA (OVDS) and Troms
Fylkes Dampskibsselskap ASA (TFDS).Ganger Rolf ASA (GRO) reports that the company
has entered into an agreement regarding the sale
of its 33,33 % shareholding in Norwegische
Shiffahrts-Agentur GmbH (NSA) to Ofoten og
Vesterålen Dampskibselskap ASA (OVDS) and Troms
Fylkes Dampskibsselskap ASA (TFDS). GRO will
receive approximately NOK 92 million from the
transaction. In addition GRO will be entitled
to receive dividends from NSA for the accounting
year 2005.

GRO will record an accounting gain of
approximately NOK 83.5 million and dividend in
the order of NOK 4.0 million relating to this
transaction, both items to be recorded in the
4th quarter 2005.
