Green Landscaping Group completes acquisition of H&K Sandnes AS in Norway

Green Landscaping Group AB (publ) has today taken over all outstanding shares in H&K Sandnes AS.

As previously announced, Green Landscaping Group has signed an agreement to acquire H&K Sandnes AS. On 13 October, 2022, approval was received from the Competition Authority in Norway, and access has taken place as of today.

Green Landscaping Group acquires 100 percent of the shares in H&K Sandnes AS with immediate access. The acquisition is financed within existing credit facilities and through a non-cash issue of own shares. The Board has therefore, within the scope of the authorization from the Annual General Meeting on 14 May 2022, decided to issue 305 666 shares in Green Landscaping Group, aimed at the sellers of H&K Sandnes AS. This corresponds to a dilution of 0,6 percent of the share capital and votes in Green Landscaping Group. The total number of shares in Green Landscaping Group after the issue are 54 824 283 shares.

The previous owners of H&K Sandnes AS are now shareholders in Green Landscaping Group AB.
