The extraordinary general meeting approved the sale of the wholly owned
3A Byggdelen AB subsidiary.

The extraordinary general meeting approved the sale of the wholly owned 3A Byggdelen AB subsidiary (the “Subsidiary”) to a new company that has been formed for that purpose and that is owned by three employees of the Subsidiary.

The Subsidiary, which was part of the acquisition of Christiania Spigerverk A/S in Norway in 2007, sells equipment and hand tools to builders in the Stockholm area. Because the business is relatively small and competes with some of Gunnebo Industrier AB's customers, management and the Board believe that divestment of the Subsidiary is strategically correct. With five employees, the Subsidiary reported sales of SEK 15.6 million in 2007 and had shareholders' equity of approximately SEK 1.3 million on 30 April 2008. The purchase price of SEK 3 million is to be paid in cash on the date of possession.

The approval from the general meeting was support by all votes cast, as well as all votes and shares represented at the meeting.
