Gunnebo Industrier AB’s Nomination Committee proposes that the present Board of Directors be re-elected.

Gunnebo Industrier’s Nomination Committee has the shareholders’ mandate to nominate candidates for election to the Board and to propose their fee. The Nomination Committee will propose to the Annual General Meeting that will be held April 27, 2006 in Västervik, that the Board be re-elected and that they be paid the same Board fee as last year.

The Nomination Committee has met on several occasions since its appointment in September 2005. Gunnebo Industrier AB’s Nomination Committee has the following members: Bjarne Holmqvist, Chairman of the Board of Gunnebo Industrier AB (convenor); Nils-Olov Jönsson, Vätterledens Invest AB; Martin Svalstedt (Chairman of the Nomination Committee), Stena Adactum AB; and Joachim Spetz, Handelsbanken Fonder AB. The Nomination Committee’s proposals for election to the Board and the Board fee are as follows: That Bjarne Holmqvist, Mikael Jönsson, Sten Langenius, Malin Alfredsson, Carl-Gösta Ekström and Göran Danielsson be re-elected; that the Board be paid a fee of SEK 750,000, of which the Chairman of the Board be paid SEK 250,000. That SEK 100,000 be paid for committee work, to be apportioned at the discretion of the Board. The Nomination Committee will also propose that the Nomination Committee for the Annual General Meeting in 2007 shall consist of representatives of the company’s three largest shareholders as of September 30, 2006, until which date the present Nomination Committee will remain in office. It is proposed that the Chairman of the Board convenes meetings of the Committee.
