Gunnebo AB’s AGM on 31 March 2005 voted in favour of distributing all the shares in Gunnebo Industrier to the shareholders of Gunnebo free of charge on the basis of Sweden’s Lex Asea legislation, whereby the distribution of shares will not have any immediate tax implications in Sweden for Gunnebo AB or its shareholders.

Shareholders will receive one share in Gunnebo Industrier for every five shares they own in Gunnebo. Shareholders whose holding is not evenly divisible by five will receive cash compensation for the excess fraction of shares. The following time schedule is proposed for the listing: Publication of prospectus 30 May 2005 Final day for trading in Gunnebo shares including the right to shares in Gunnebo Industrier 8 June 2005 Record date for entitlement to receive shares in Gunnebo Industrier 13 June 2005 Expected first day of trading in Gunnebo Industrier’s shares on Stock Exchange’s O-List 14 June 2005 The prospectus will be available from 30 May 2005 at Gunnebo’s head office in Gothenburg, Gunnebo Industrier’s head office in Gunnebo and on the websites www.gunnebo.com and www.gunneboindustries.com. The prospectus will also be available at Enskilda Securities, Nybrokajen 5, Stockholm, and will also be distributed to all shareholders. Brief facts about Gunnebo Industrier Gunnebo Industrier conducts its business through three business areas: Fastening, Lifting and Technical Products. Gunnebo Fastening is the Nordic region’s leading supplier of high quality nails and screws. Gunnebo Industrier’s Lifting area has around 16 per cent of the global market for chain-based lifting products and systems. Technical Products comprises Gunnebo Industrier’s small businesses: Blocks, Non Skid and Telescopics. In 2004, Gunnebo Industrier had a turnover of MSEK 1,240 and an operating profit of MSEK 101. For the first three months of 2005 Gunnebo Industrier’s turnover amounted to MSEK 325 (Jan-Mar 2004: 291) and the company earned an operating profit of MSEK 19 (12). In 2004, the largest markets were Sweden (28% of sales), followed by Europe excluding Nordic region (24%), Nordic region excluding Sweden (21%), North America (18%) and other markets (9%).
