RELEASE FROM THE ANNUAL GENERAL MEETING Dividend The Annual General Meeting held on April 27 resolved in favour of paying a dividend of SEK 3:25 (last year 2:75), in accordance with the Board's proposal. The record date for entitlement to dividend was fixed at May 3, 2000, and the dividend is expected to be distributed by VPC on May 10, 2000. Election of Board Roger Holtback, Rolf Ekedahl, Nils-Olov Jönsson, Sten Langenius, Per- Henrik Berthelius and Bjarne Holmqvist were re-elected to the Board and, as deputy, election of Mikael Jönsson. Roger Holtback was appointed chairman by the Board at its inaugural meeting after the AGM. Election of auditors The registered audit company PriceWaterhouseCoopers KB was elected as auditor for the upcoming 4-year period. Decision on authorisation of Board The AGM resolved in favour of authorising the Board to decide to issue up to 600,000 shares in the company for use in connection with company acquisitions between now and the next AGM. The Annual General Meeting also authorised the Board to make decisions to buy back up to 5 % of the total number of shares in the company at the time of the Board's decision, and to make decision to transfer shares. Share transfers may be arranged via OM Stockholm Stock Exchange, by means of a purchase offer to shareholders or by issue in return for a transfer of assets. Excerpts from the President's address to the AGM " Strong first quarter. Invoiced sales increased by 20 % and organic growth amounted to 5 %. Profit after financial items increased to MSEK 40 (5). Profit after financial items for the year 2000 is expected to amount to some MSEK 300 (266), an increase of 13 % ", says Bjarne Holmqvist, President and CEO, Gunnebo AB. Bjarne Holmqvist also announced that Gunnebo plans to re-organise the production within Gunnebo Safe Production to achieve a more rational and efficient production structure. The aggregate direct saving is estimated at a minimum of MSEK 30 per year and full effect is expected to be achieved in 2001. The total cost is estimated at MSEK 60. Bjarne Holmqvist also commented on the great possibilities established through the new co-operation for internet based security solutions between Gunnebo Fichet-Bauche and the French listed company Com One.
