RELEASE FROM THE ANNUAL GENERAL MEETING Dividend The Annual General Meeting held on April 26 resolved in favour of paying a dividend of SEK 2:75 (last year 2:25), in accordance with the Board's proposal. The record date for entitlement to dividend was fixed at April 29, 1999, and the dividend is expected to be distributed by VPC on May 6, 1999. Election of Board Roger Holtback, Rolf Ekedahl, Nils-Olov Jönsson, Sten Langenius, Per-Henrik Berthelius and Bjarne Holmqvist were re-elected to the Board. Roger Holtback was appointed chairman by the Board at its inaugural meeting after the AGM. Election of auditors Bertel Enlund and Clas Blix were re-elected as auditors and Sven-Arne Gårdh and Lennart Huldén as deputy auditors. Decision on authorisation of Board The AGM resolved in favour of authorising the Board to decide to issue up to 600,000 shares in the company for use in connection with company acquisitions between now and the next AGM. Excerpts from the President's address to the AGM "After the acquisition last week of the French security company Fichet-Bauche, Gunnebo's largest acquisition so far, the Gunnebo Group will have an annual sales level of MSEK 5 700, of which 80 % outside Sweden. The number of employees is now 5 500". "The acquisition of Fichet-Bauche provides an important complement to the geographical presence of Gunnebo in Europe and is of great strategic importance. Through the acquisition, the Gunnebo Group further concentrates its activities to the security and safety area". "Gunnebo does not, at this point, give a forecast for 1999, but intends to do so in conjunction with the six months report when the effects of the Fichet- Bauche acquisition can be better evaluated ". "Even though the profit development in the beginning of 1999 has been weak, we are not worried about our ability to produce a very good result for the full year 1999".
