Preliminary assessment by the federal cartel office in Germany of Xella International Holdings S.à.r.l.’s merger notification targeting H+H International A/S
Reference is made to prior company announcements informing of Xella International Holdings S.a.r.l.’s (Xella) merger notification targeting H+H International. The merger notification was filed with the Commission unilaterally by Xella without acceptance from H+H International. As far Germany concerns, the Commission decided to refer the decision on the merger notification to the Bundeskartellamt (the German federal cartel office) for its decision.
On 24 June 2011, H+H International received a confidential letter from the Bundeskartellamt. According to the letter, the Bundeskartellamt at this point in time intends to prohibit the notified transaction (i.e. Xella's intention to make a public bid for the H+H International shares). The assessment is preliminary and may change as the investigation is still ongoing.
On 28 June 2011, the Bundeskartellamt informed H+H International that the review period had been extended till 26 September 2011.
Since H+H International now has learned that information about the extension of the review period has become known, H+H International has decided to inform about the confidential letter from the Bundeskartellamt.
