By way of press release on 11 February 2013, Lindéngruppen AB (”Lindéngruppen”) and Foundation Asset Management Sweden AB (”FAM”), through the jointly owned company H Intressenter AB (“H Intressenter”), announced a cash offer to the shareholders in Höganäs AB (publ) (“Höganäs”) to tender all shares in Höganäs to H Intressenter (the “Offer”). H Intressenter currently controls 47.9 percent of the votes and 34.4 percent of the shares in Höganäs. On 22 May 2013, the price of the Offer was raised to SEK 325 per share. The raised price of SEK 325 per share represents a premium of approximately 37 percent compared to the average price [1] of Höganäs’ shares of series B during the last three months prior to the announcement of the Offer in February.

H Intressenter has now been granted approvals from the competition authorities in all necessary jurisdictions including in China, where an extended review was recently concluded. As a consequence, the Offer is no longer conditional upon any approvals from authorities.

The Board of Directors of Höganäs [2], who acts in the interest of the shareholders, has unanimously decided to recommend all shareholders in Höganäs to accept the Offer.

The last day to accept the Offer is Friday 16 August 2013. A duly completed acceptance form shall be submitted or sent by mail so that it may be received by SEB Emissioner no later than 17.00 on 16 August 2013.

Provided that H Intressenter around 21 August 2013 announces that the Offer is completed, settlement is expected to commence around 26 August 2013.
