Two new members were elected to the Board: Pirkko Alitalo, Helsinki, and Tommy Bylund, Ljusdal.

In accordance with the election committee's proposal, the Meeting did not elect any deputy members to the Board.

Ernst & Young AB, authorised public accountants, were re-elected auditors, and KPMG Bohlins AB, authorised public accountants, were elected auditors for the first time.

The Annual General Meeting adopted the Board's recommendation for a cash dividend of SEK 3.00 per ordinary share. The record day for payment will be Wednesday 19 April 2000. It is expected that the dividend will be paid out by the Swedish Central Securities Depository & Clearing Organization (VPC) on 26 April 2000.

Buy-back of shares
In accordance with the Board's proposal, the Annual General Meeting authorised the Board to repurchase a maximum of 50 million of the Bank's ordinary class A and/or B shares during the period until the next Annual General Meeting. Purchases will be made on the OM Stockholm Stock Exchange at the market price applying on the purchase dates.
