Svenska Handelsbanken's Annual General Meeting

At the Annual General Meeting on 28 April 1998, the Board of Handelsbanken was re-elected with the exception of Gunnar L Johansson who had declined re-election for reasons of age.

The Banking Companies Act requires that the number of employees of the Bank in proportion to the number of members who are not employees, elected by the Meeting does not exceed a certain level. In order to reduce the number of board members it has been agreed that Lotty Bergström, previously nominated by the Oktogonen Foundation, remains on the board but as a representative of the labour union. In all probability, the law will be changed on this point. The intention is then to revert to the Annual General Meeting electing two board members proposed by the Oktogonen Foundation.

Björn Börjesson, Executive Vice President at Handelsbanken succeeded Hans Christofferson as Deputy Board Member.

Öhrlings Coopers & Lybrand AB and Ernst & Young AB, registered public accounting firms, were elected auditors.

The Annual General Meeting adopted the Board's proposal for cash dividend.

The Annual General Meeting also adopted the Board's proposal for distribution of shares in Fastighets AB Balder to holders of the Bank's ordinary shares.
