HANZA adjusts the AGM and invites to a conference call

HANZA Holding AB (publ), a manufacturing strategist listed on Nasdaq Stockholm, will, due to the spread of covid-19, limit the extent of the company’s AGM on April 27, 2020. A combined presentation and conference call for investors, analysts and media will be held the following day, April 28 at 09.00 CET.

To reduce the risk of spreading the coronavirus (Covid-19), HANZA will adjust the upcoming AGM on April 27, 2020 as follows:

• The premises open and registration for the AGM commences at 15.45 CET.
• No food or drinks are served.
• CEO statement is shortened.
• External guests are not invited.
• Discussions with the company’s management are not possible prior to, neither after the meeting.

HANZA intends to keep the AGM brief and efficient, without impacting on shareholders’ rights.
Shareholders are encouraged to consider the option to participate via a representative rather than attending in person. HANZA will make use of the temporary law that facilitates the authorization of a specially appointed representative, see further information below.

We are especially asking shareholders who show signs of an infection (such as fever, cough, breathing difficulties, headache, muscle pain etc.), and/or those who have visited an affected area or belong to a risk group, not to participate but rather use the option of voting by proxy. On the day of the Annual General Meeting, April 27, 2020, HANZA will also publish its interim report for the first quarter of 2020. An expanded version of the AGM presentation, which also includes the Q1 2020, will be given by the Company’s management in a telephone conference on April 28 at 09.00 CET, where there will also be an opportunity to ask questions. Attendance at the AGM by proxy

HANZA will use the temporary act passed by Parliament on April 3, 2020, which will come into force on April 15, 2020, with the aim of conducting the AGM in such a way as to minimize the risk of spreading the virus.

In accordance with this act, HANZA will collect proxies from the shareholders to a person appointed by the Board, according to a special proxy form that is available on HANZA's website from April 16, 2020.In addition to the proxy being sent to HANZA by mail, HANZA will accept that a signed original of the proxy form is scanned or photographed and sent to the company by e-mail.Further information is available on the Company's website: www.hanza.com
